Terms of Service

These Terms of Service (“Terms”) govern your use of the Tool Share mobile application and related services (“Services”) operated by Sehestedt Holdings LLC (“Tool Share,” “we,” “us,” or “our”). By creating an account or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility and accounts

You must be at least 18 years old to use Tool Share. By creating an account, you represent that you meet this age requirement and that all information you provide is accurate and current. You are responsible for maintaining the security of your account and for all activity that occurs under it. Notify us immediately at mytool.share@gmail.com if you become aware of any unauthorized use. We may suspend, disable, or delete your account if you violate these Terms or engage in conduct that harms the Tool Share community.

2. The Tool Share marketplace

Tool Share is a marketplace that connects people who want to rent tools (“renters”) with people who list tools for rent (“owners”). Tool Share is not a party to any rental agreement between renters and owners. We do not own, inspect, deliver, or maintain the tools listed in the Services.

Owners are responsible for the accuracy of their listings (condition, price, availability, pickup details) and for the legal ownership and safe operation of the tools they list.
Renters are responsible for operating tools safely, returning them in the condition they received them in apart from reasonable wear and tear, and for all costs associated with damage, loss, or late return beyond what is covered by the security deposit.
Both parties agree to communicate respectfully through the in-app messaging feature.

3. Identity verification

Tool Share may require a government-issued photo ID to verify your identity before you can list a tool or submit a rental request. Verification helps reduce fraud and gives renters and owners confidence in one another. Tool Share stores verification data securely and does not share it with other users.

4. Payments, deposits, fees, and payouts

All payments and payouts are processed by Stripe, Inc. and Stripe Connect. By using the Services you also agree to the Stripe Services Agreement (https://stripe.com/legal) and the Stripe Connected Account Agreement.

Rental charges — the renter's card is charged for the rental cost (plus delivery fee, if applicable) when the request is accepted.
Security deposit — the owner's stated security deposit is authorized on the renter's card at booking and captured or released based on the return and inspection outcome.
Platform commission — Tool Share charges a platform commission (disclosed in the rental request summary) on each completed rental. The commission is automatically deducted from the owner's payout.
Payouts — owners receive payouts to the bank account connected through Stripe Connect. Payout timing follows Stripe's default schedule and any holds that Stripe places on new Connect accounts.
Taxes — each user is responsible for their own tax reporting. Tool Share may provide 1099-K or comparable tax forms to owners as required by law.

5. Cancellations and refunds

Renters may cancel a pending request at no charge.
Owners may decline a request at any time before accepting it.
Cancellations after a request has been accepted may result in a partial refund based on how close to the rental period the cancellation occurs, at Tool Share's reasonable discretion.
Deposits authorized on a card but not captured expire automatically per Stripe's normal authorization lifecycle.

6. Damage and disputes

If a tool is damaged during a rental, the owner may submit an inspection report with supporting photos within 48 hours of return. The renter can accept the proposed damage fee or open a dispute. Tool Share will review disputes in good faith and may consult either party for additional information. Our dispute decisions are final for platform-charged damage fees but do not limit either party's legal remedies outside the platform.

7. User content

You retain ownership of the photos, descriptions, messages, reviews, and other content you submit (“User Content”). You grant Tool Share a worldwide, royalty-free, non-exclusive license to host, store, reproduce, display, and distribute your User Content solely to operate, improve, and promote the Services. You are responsible for the legality, accuracy, and appropriateness of your User Content. We may remove or refuse to host any User Content that violates these Terms, infringes third-party rights, or that we reasonably deem harmful or objectionable.

8. Prohibited uses

You may not use the Services:

for any unlawful or fraudulent purpose;
to list firearms, ammunition, weapons regulated under federal or state law, or any tool whose operation requires a professional license the renter does not hold;
to list or rent tools that are counterfeit, recalled, unsafe, or otherwise prohibited by applicable law;
to harass, threaten, defame, or discriminate against other users;
to post misleading reviews, fake listings, or any other fraudulent content;
to scrape, crawl, reverse-engineer, or otherwise circumvent the Services' technical protections;
to solicit rentals or payments outside of the Tool Share platform in order to evade our commission or security protections.

Violations may result in account suspension, listing removal, forfeiture of pending payouts used to cover fraud-related losses, and/or legal action.

9. Backups and availability

Tool Share performs regular backups of user data and strives for high availability, but the Services are provided “as is” and we do not guarantee uninterrupted access or that data will never be lost. You should keep your own copies of important photos and records.

10. Intellectual property

All rights in the Tool Share name, logo, application code, design, and assets belong to Sehestedt Holdings LLC or its licensors. These Terms do not transfer any of our intellectual property to you. Your use of the Services does not grant you a license to use our trademarks.

11. Third-party resources

The Services may link to third-party websites, applications, or services (Stripe, Apple App Store, Google Play, external support pages, owner-provided websites). We do not endorse and are not responsible for their content, policies, or practices.

12. Disclaimer and limitation of liability

The Services are provided “as is” and “as available” without warranties of any kind, express or implied. To the maximum extent permitted by law, Tool Share disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement. Tool Share does not warrant the condition, safety, or legality of any listed tool.

To the maximum extent permitted by law, Tool Share's aggregate liability arising out of or related to the Services is limited to the greater of (a) USD $100 or (b) the amount of platform commission we have collected from you in the twelve (12) months immediately preceding the event giving rise to the claim. Tool Share will not be liable for indirect, incidental, special, punitive, or consequential damages, including lost profits, data, or goodwill, even if we have been advised of the possibility of such damages.

13. Indemnification

You agree to indemnify and hold harmless Sehestedt Holdings LLC and its affiliates, directors, officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your User Content, your use of the Services, your breach of these Terms, or your willful misconduct.

14. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to conflicts-of-law rules. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida. You waive any right to a jury trial. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

15. Changes to these Terms

We may update these Terms from time to time. When we do, we will post the updated Terms in the app and on mytoolshare.com and update the “Last updated” date. Material changes will be communicated through the app or by email before they take effect. Continued use of the Services after an update means you accept the revised Terms.

16. Acceptance

By creating an account, you acknowledge that you have read, understood, and agree to be bound by these Terms and the Tool Share Privacy Policy. If you do not agree, do not create an account or use the Services.
